ALD’s acquisition of LeasePlan finally inked

Following the announcement in January 2022 of the proposed acquisition by ALD of LeasePlan, Societe Generale and ALD have announced another major milestone with the signing of the framework agreement.

The complete transaction is expected to close by the end of 2022, subject to customary closing conditions. The signing by ALD of the framework agreement for the acquisition of 100% of LeasePlan on 22 April 2022 follows the completion of the process of information and consultation of the relevant works councils.

Next steps - closing of the deal

This framework agreement is a binding one, which confirms the terms of the transaction as disclosed earlier this year. It is a key step allowing the parties to prepare for the completion of the transaction.

To ensure a successful integration, ALD and LeasePlan have set up an Integration Management Office (IMO), which is working on preparing the combination of the two entities post-closing. The primary next steps leading to closing are the regulatory and antitrust filings.

Exclusive interview about what may emerge

We first announced the news of the ALD LeasePlan merger when it became more than just talk. This was back in October, 2021 when the two companies used the Fleet Europe Summit as the springboard for the announcement.

Although final details of the merger, in terms of what the new company will be called, how it will operate, plus announcements of new products and services, has yet to be finalised, Fleet Europe’s Editor-in-Chief Steven Schoefs was granted an exclusive, in-depth interview by Tim Albertsen (CEO of ALD) and Tex Gunning (CEO of LeasePlan) in January 2022.

Rest-assured we will keep you updated with all future developments. Meanwhile, there is still time to register and get tickets for the Global Fleet Conference, Lisbon, Portugal on 2-4th May.
